These Terms of Service ("Terms") govern your use of the TrialSupply platform and services (the "Service") provided by TrialSupply ("Company", "we", "our", or "us"). By accessing or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Service Description
TrialSupply provides a cloud-based clinical trial supply chain management platform designed to help pharmaceutical companies and clinical research organizations manage their trial supply planning, forecasting, and operations.
3. Account Registration and Security
3.1 Account Creation
To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4. Acceptable Use Policy
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Upload malicious code or viruses
- Collect or harvest user information without consent
- Reverse engineer or attempt to derive source code from the Service
- Resell or redistribute the Service without authorization
5. Intellectual Property Rights

The Service and its entire contents, features, and functionality are owned by TrialSupply and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data or content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to use, store, and process it solely to provide the Service to you.
6. Data Protection and Privacy
Your use of our Service is also governed by our Privacy Policy. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security. You acknowledge that you provide data at your own risk.
7. Subscription and Payment
7.1 Subscription Plans
Access to certain features of the Service requires a paid subscription. Pricing and features for each plan are described on our website and may be updated from time to time.
7.2 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable except as required by law or as explicitly stated in these Terms.
7.3 Renewal and Cancellation
Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.
8. Service Availability and Support
8.1 Service Level Agreement
We strive to maintain 99.9% uptime for the Service. Scheduled maintenance will be communicated in advance when possible.
8.2 Support
Support is provided according to your subscription plan. Enterprise customers receive priority support with guaranteed response times.
9. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIALSUPPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO TRIALSUPPLY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11. Indemnification
You agree to indemnify and hold harmless TrialSupply and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.
12. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
13.2 Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on our website and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
15. General Provisions
15.1 Entire Agreement
These Terms constitute the entire agreement between you and TrialSupply regarding the use of the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
